Contracts Manager - PAL Technology - Abu Dhabi - United Arab Emirates

Job Description The Contracts Manager handles all the contractual, legal and commercial issues related to projects and other contracts, review each contract prior to its execution and identify all areas of concern.

KEY ACCOUNTABILITIES:
1. Review tender documents’ terms and conditions, identify commercial risks of the contract, its obligations, liabilities, payments, dispute resolution, litigation and arbitration proceedings. Review tender documents, check & verify letter of Award and contract documentation prior to acceptance.
2. Perform risk and value management and cost control. Identify, analyze and develop responses to commercial risks.
3. Analyze work progress for payment purpose, establish budget and cost control reports.
4. Review and approve contractors’ payments in line with contractual obligations.
5. Review and recommend list of vendors and service providers proposed by sub-contractors.
6. Develop and implement projects contracts administration procedures.
7. Monitor and ensure that contractors comply with their obligations under the contract with respect to approved vendor lists and other contractual terms and conditions.
8. Provide recommendations on any contractual notices to the contracts, clients, vendors and such parties.
9. Monitor and ensure that all sub-contractors have in place all the insurance and guarantees required under the contract.
10. Provide formal approval for all subcontractors.
11. Maintain all contracts documents and correspondences, analyze the risk assessment and raise concerns over critical aspects of each contract. Advise and provide information on contractual matters to the Management of the Group and its affiliate companies.
12. Advise project managers and affiliates on the claims with clients, prepare variations and claims in coordination with the project team.
13. Manage post contracts activities, project closeout and settlement of financial accounts in coordination with all concerned managers/department.
14. Develop a system for preparation of contractual documents, ensuring identification of standard and critical legal clauses to save the interest of the company.
15. Prepare contractual claims including extensions of time, prolongation cost, acceleration cost, and all other contractual claims.
16. Act as a co-coordinator on specific contracts as and when required by the Management for all projects undertaken by the company for execution.
17. Follow-up contractual requirements such as guarantees, warranties, completion certificates, retention, letter of credits and other such documentation.
18. Communicate with Consultants and Clients on contractual matters, including but not limited to delays, extension of time, variations, warranties, etc., including co-coordinating same with other departments and affiliate companies.
19. Oversee quantity surveying function to ensure completion of work done at project site is timely communicated to facilitate initiation of claims to party in contract.
20. Prepare sub-contract documentation such as work scope, liabilities, penalties, warranties, letter of award, work order, etc.
21. Participate in contract negotiations with clients as well as sub-contractors and conclude the negotiations securing Company’s interests in line with business strategies.
